TERMS OF SERVICE

PLEASE READ CAREFULLY BEFORE USING THE SERVICE. BY CLICKING "I ACCEPT" YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD, AND, AS A CONDITION TO YOUR USE OF THE SERVICE, YOU AGREE TO BE BOUND BY, THE FOLLOWING TERMS AND CONDITIONS, AND YOU SEPARATELY ACKNOWLEDGE THAT YOU HAVE READ AND AGREE TO THE HYDRON PRIVACY POLICY WHICH IS INCORPORATED INTO THESE TERMS BY REFERENCE (TOGETHER, THESE "TERMS"). IF YOU DO NOT AGREE TO THESE TERMS, YOU DO NOT HAVE PERMISSION TO USE THE SERVICE.

Definitions

The following terms have the meanings set out below wherever they appear in these Terms:

Generated OutputAny code, text, analysis, or other material produced by the Service in response to User Content, including inline completions, chat responses, and agentic outputs.
Hardware-in-the-Loop (HIL)The feature set enabling real-time interaction between Generated Output and physical hardware devices.
Intellectual Property RightsAll patents, copyright, trade marks, trade secrets, database rights, design rights, and all other intellectual property rights, whether registered or unregistered, anywhere in the world.
Knowledge GraphThe Company's proprietary indexed database of hardware documentation, datasheets, schematics, BSPs, and embedded system specifications that powers spec-aware code generation.
Pricing ScheduleThe schedule of subscription tiers, fees, and features published at https://hydron.sh/pricing, as updated from time to time.
ServiceThe Hydron AI coding assistant platform, including the website at https://www.hydron.sh, the Developer Tooling, APIs, Knowledge Graph, HIL functionality, and all related services provided by the Company.
Subscription PeriodThe monthly or annual term for which a paid subscription has been purchased.
Usage DataTelemetry, performance, and analytical data generated by the Service relating to access or use, as further described in the Privacy Policy. Usage Data does not include User Content.
User ContentAll code, queries, files (including datasheets, schematics, and documentation), hardware configurations, prompts, and other content submitted to the Service by you.

Eligibility and Account Registration
2.1 Eligibility

The Service is available to natural persons aged 18 years or older and to legal entities validly constituted under applicable law. By creating an Account you represent and warrant that: (a) you are at least 18 years of age; (b) you have not previously been suspended or removed from the Service; (c) you have legal capacity to enter a binding agreement; and (d) your use of the Service complies with all applicable laws.

2.2 Account Registration

To access most features of the Service, you must register for an Account. All information you provide must be accurate, complete, and kept up to date. You are solely responsible for maintaining the confidentiality of your Account credentials (username, password, API keys) and for all activity under your Account. You may not share your Account credentials with any other person or permit multiple users to access the Service through a single Account, except as expressly permitted by the Company in writing. You remain fully responsible for all activities conducted through your Account, whether or not authorised by you.

Notify the Company immediately at support@h2loop.ai if you believe your Account has been compromised.

2.3 One Free Account per User

Each individual may maintain only one free Account. Creating multiple free Accounts to circumvent usage limits or access restrictions is a material breach of these Terms. If your Account is terminated for breach, you may not create a new Account without the Company's prior written permission.

2.4 Teams and Enterprise

If you require the Service for a team or organisation, refer to the Hydron Enterprise Terms of Service (separate document), which will govern your use of the Service in that context in place of these Terms.


3
Description of the Service
3.1 Service Overview

Hydron is a hardware-native AI coding assistant for embedded and system software engineers, operated by H2Loop AI Inc. The Service provides spec-aware code generation grounded in the Hardware Knowledge Graph; context-indexed understanding of codebases, datasheets, schematics, and BSPs; Hardware-in-the-Loop functionality; Developer Tooling; and related features (as set out in the Pricing Schedule from time to time).

The Service uses machine learning and other automated techniques to generate outputs based on user inputs and available data. The functionality described above is indicative and may vary depending on the nature, quality, and completeness of inputs and system context.

3.2 Subscription Tiers and Features

Access to Service features and usage limits is governed by your selected subscription tier, as set out in the Pricing Schedule. The Company reserves the right to modify or discontinue the Service, including specific features and pricing, and will use reasonable efforts to provide advance notice of material changes.

3.3 Beta and Preview Features

Features designated 'beta', 'preview', or 'experimental' are provided as-is without warranty. Notwithstanding anything to the contrary in these Terms, in no event will the Company be liable to you or any third party for any damages or liability related to, arising out of, or caused by any such service and/or any modification, suspension, or termination thereof. Use is at your sole risk.

3.4 Third-Party Services

The Service may provide access to, or may be used in connection with, third-party services, integrations, and content. We do not control or accept responsibility for any loss or damage that may arise from your use of any third-party content, services, and integrations. Your use of any third-party content, services, and integrations is at your own risk and subject to any terms, conditions, or policies applicable to such third-party content, services, and integrations.


4
Licence Grant and Restrictions
4.1 Licence to Use

Subject to your compliance with these Terms and payment of applicable fees, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service solely for your personal or internal business use.

4.2 Restrictions

Except as expressly permitted by applicable law, you may not:

  • reproduce, distribute, or create derivative works of the Service or the Knowledge Graph;
  • reverse engineer, decompile, or otherwise attempt to discover, extract, replicate, or derive the underlying models, source code, system architecture, or algorithms of the Service, including through prompt engineering, systematic querying, or other means;
  • use the Service to train, develop, or improve any AI model or any product or service that competes with Hydron;
  • scrape or systematically extract Service data, including Generated Outputs or Knowledge Graph content, beyond your permitted internal use;
  • sell, resell, sublicense, distribute, or transfer access to the Service or Generated Outputs as a commercial offering without prior written consent;
  • remove or alter any proprietary notices; or
  • access the Service to build a competing product or to benchmark it against a competitor for external publication.

Ownership and Intellectual Property
5.1 Company IP

The Company and its licensors retain all Intellectual Property Rights in the Service, including the Knowledge Graph, AI models, algorithms, software, and documentation. Nothing in these Terms transfers any ownership interest in the Service to you.

5.2 Your User Content

You retain all Intellectual Property Rights in your User Content. By submitting User Content you grant the Company a worldwide, non-exclusive, royalty-free licence to host, store, process, and use such User Content as necessary to provide, maintain, and secure the Service.

5.3 Generated Outputs

The Company assigns to you all right, title, and interest in any Generated Output produced by the Service in response to your User Content, to be used subject to these Terms. You acknowledge that: (a) Generated Outputs may be similar to those provided to other users, and no rights in outputs provided to others are assigned to you; (b) the Company makes no warranty that Generated Outputs are original, non-infringing, or error-free; (c) you are solely responsible for reviewing, testing, and validating Generated Outputs before use; (d) Generated Outputs are provided for informational and assistive purposes only and are not a substitute for professional judgment, engineering review, or testing; and (e) you assume all risks associated with the use of Generated Outputs, including any reliance on their accuracy, completeness, or suitability for your use case.

5.4 Use of User Content and Generated Outputs

The Company may use User Content and Generated Outputs to improve, develop, and personalise our Services, and to introduce new features, including for the purposes of training and fine-tuning our AI models. Users on paid-tier plans may opt out of the use of their User Content and Generated Outputs for model training purposes by adjusting their account settings.

Hydron operates its own AI models and does not share any User Content with third-party AI model providers. The Company may permit limited access to User Content and Generated Outputs by its personnel and contractors strictly on a need-to-know basis for purposes such as providing support, security, and debugging, subject to strict confidentiality obligations.

5.5 Usage Data

The Company may collect and use Usage Data to operate, monitor, and improve the Service. The Company owns all rights in Usage Data. The Company will not disclose Usage Data externally unless it has been de-identified and aggregated with data from other users. For further detail on how User Content and Usage Data are handled, please refer to the Privacy Policy at https://hydron.sh/privacy.

5.6 Feedback

Any feedback, suggestions, or ideas you provide about the Service grants the Company a worldwide, irrevocable, perpetual, royalty-free licence to use them for any purpose without obligation or compensation. You waive any moral rights in such feedback to the fullest extent permitted by applicable law.

5.7 Third-Party Rights

The Company respects the intellectual property rights of others. Infringing activity is not tolerated on or through the Service. The Company may terminate Accounts of users determined to be repeat infringers.

5.8 Copyright Infringement Notices

If you believe that content available through the Service infringes a copyright you own or control, please send a written notice to the Company at support@h2loop.ai with the subject line 'Copyright Infringement Notice'. Your notice must include: (a) your electronic or physical signature; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the allegedly infringing material and its location in the Service; (d) your contact information; (e) a statement of good-faith belief that the use is not authorised; and (f) a statement under penalty of perjury that the information is accurate and you are authorised to act on behalf of the rights owner.

The Company may remove or disable access to allegedly infringing material in response to such notices. If you believe that material you provided was removed or disabled as a result of mistake or misidentification, you may submit a counter-notification in accordance with applicable law.

5.9 Open-Source Software

The Service may include open-source software components subject to their respective licences. Where required, the Company will make applicable open-source licence notices and terms available through the Service or accompanying documentation.

Fees and Payment
6.1 Pricing

Subscription fees and usage limits for each tier are published on the Pricing Schedule at https://hydron.sh/pricing. The Company reserves the right to change fees by providing reasonable notice before they apply. Promotional pricing offered to some users does not apply to others unless expressly stated.

6.2 Payment — Stripe

All payments for the Service are collected by the Company and processed through Stripe, Inc. (United States). By providing payment information, you authorise the Company and Stripe to charge all applicable fees and taxes to your designated payment method. All charges are denominated in USD unless Stripe presents a local currency option for your region at checkout, in which case the converted amount in that currency will be charged. These payment processing services are provided by Stripe and are subject to the Stripe terms and conditions and other policies. The Company assumes no liability or responsibility for any payments you make through the Service.

6.3 Automatic Renewal

Paid subscriptions automatically renew at the end of each Subscription Period unless cancelled before the renewal date. The Company will provide reasonable notice of upcoming renewals where required by applicable law. YOU MUST CANCEL BEFORE THE RENEWAL DATE TO AVOID CHARGE FOR THE NEXT SUBSCRIPTION PERIOD. You may cancel at any time via Account settings or by contacting support@h2loop.ai. Cancellation takes effect at the end of the then-current Subscription Period.

6.4 No-Refund Policy
ALL FEES ARE STRICTLY NON-REFUNDABLE. UNLESS REQUIRED BY LAW, ONCE PAYMENT HAS BEEN PROCESSED BY STRIPE, NO REFUND, CREDIT, OR PRO-RATA ADJUSTMENT WILL BE ISSUED, INCLUDING IN CASE OF CANCELLATION OF A SUBSCRIPTION BEFORE THE END OF A SUBSCRIPTION PERIOD, DISSATISFACTION WITH GENERATED OUTPUTS OR SERVICE PERFORMANCE, OR ACCOUNT TERMINATION.

Statutory exceptions: nothing in this Section limits rights you may have under applicable mandatory consumer protection law in your jurisdiction that cannot be contractually waived.

6.5 Delinquent Accounts

The Company may suspend or terminate access for any Account with overdue amounts. If your payment method is invalid at renewal, the Company reserves the right to suspend or delete your Account.

6.6 Taxes

You are responsible for all taxes, levies, or duties imposed on your subscription fees, except taxes based on the Company's net income. The Company will add applicable taxes (including US state and local sales tax, VAT, GST, or equivalent) where required by law, calculated based on your billing address. If you believe a tax has been applied incorrectly, contact support@h2loop.ai within 30 days of the charge.


7
User Obligations and Acceptable Use
7.1 Your Responsibility for User Content

You are solely responsible for all User Content you submit. You represent and warrant that: (a) you own or have all necessary rights in your User Content; (b) your User Content does not infringe any third-party right; (c) your User Content does not contain malicious code or harmful material, and (d) your User Content does not include regulated or restricted data unless you are permitted to use the Service for such data under applicable law.

7.2 Prohibited Conduct

By using the Service, you agree not to:

  • use the Service for any illegal purpose or in violation of any applicable law;
  • develop, test, or deploy firmware or code for unauthorised or illegal offensive weapons, autonomous lethal systems, or equipment designed to cause physical harm;
  • generate code for unauthorised access to systems, networks, or devices, including malware, exploits, ransomware, or spyware;
  • harass, threaten, or harm any person;
  • infringe any third-party Intellectual Property Right;
  • interfere with or circumvent security features of the Service or connected hardware;
  • attempt to gain unauthorised access to the Service or other Accounts;
  • circumvent, exceed, or otherwise misuse usage limits, rate limits, or access restrictions applicable to your subscription tier;
  • impersonate any person or entity, or misrepresent your affiliation with any person or entity; or
  • attempt any of the above or assist any person in doing so.
7.3 Safety-Critical Applications

The Service is not designed for, and Generated Outputs must not be deployed in, safety-critical applications — including medical device firmware, automotive functional safety systems, aerospace flight-critical software, nuclear control systems, or defence and military applications — without independent regulatory validation. The Company expressly disclaims all liability for any use of the Service or Generated Outputs in such applications.

7.4 Automated and Hardware Interactions

The Service may include features that interface with, monitor, or interact with external hardware systems, including features that execute actions based on Generated Outputs or system instructions. You acknowledge that such interactions may involve automated or semi-automated processes and may occur without continuous human oversight. The Company does not control and does not guarantee the behaviour, performance, or safety of any connected hardware or external systems. You are solely responsible for supervising, testing, and validating any interaction between the Service and hardware or external environments, and for implementing appropriate safeguards, including human oversight, fail-safes, and compliance with applicable technical and regulatory requirements.


8
Data Protection
8.1 Privacy Policy

The Company's collection, use, and processing of personal data is governed by the Hydron Privacy Policy at https://hydron.sh/privacy, which is incorporated into these Terms by reference. In the event of any conflict between these Terms and the Privacy Policy regarding the collection, use, or processing of personal data, the Privacy Policy shall prevail. The Company acts as a data controller for personal data processed in connection with account management, billing, and operation of the Service. The Service may involve the processing of personal data in jurisdictions outside your country of residence, as described in the Privacy Policy.

8.2 Communications

The Company may send you emails about the Service, including promotional communications. You may opt out of promotional emails via the unsubscribe link in any such email. Transactional and Service-related communications will continue regardless.


9
Term and Termination
9.1 Term

These Terms are effective from when you first accept them or access the Service and continue until terminated.

9.2 Termination by You

You may terminate your Account at any time via Account settings or by contacting support@h2loop.ai. No refund is issued upon cancellation. Termination takes effect at the end of the then-current Subscription Period.

9.3 Termination or Suspension by the Company

If you violate these Terms, your authorization to access the Service may be suspended or terminated. The Company may also suspend or terminate your Account at any time for any reason, with or without notice, without liability. If terminated for breach, you may not create a new Account without written permission. Suspension may include temporary restriction or limitation of access to the Service or certain features.

9.4 Effect of Termination

Upon termination: (a) all licence rights cease immediately; (b) any remaining usage allowances are forfeited without refund; (c) you lose access to your Account and User Content, and are solely responsible for retaining copies; and (d) all accrued fees remain payable. Sections 5, 6, 8, 10, 11, 12, and 13 survive termination.

THE DISCLAIMERS IN THIS SECTION APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

10.1 As-Is / As-Available
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT GENERATED OUTPUTS WILL BE ACCURATE, COMPLETE, RELIABLE, OR SUITABLE FOR ANY PARTICULAR PURPOSE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
10.2 AI Limitations
GENERATED OUTPUTS ARE PRODUCED AUTOMATICALLY BY AI AND MAY CONTAIN ERRORS, OMISSIONS, OR INACCURACIES. AI MODELS MAY PRODUCE REPETITIVE CONTENT, STRUGGLE WITH COMPLEX REASONING, AND GENERATE OUTPUTS THAT RESEMBLE THIRD-PARTY CONTENT. ALL GENERATED OUTPUTS MUST BE INDEPENDENTLY REVIEWED AND VALIDATED BY QUALIFIED ENGINEERS BEFORE DEPLOYMENT. ANY USE OF GENERATED OUTPUTS IS AT YOUR SOLE RISK.
10.3 Safety-Critical Applications
THE SERVICE IS NOT CERTIFIED FOR USE IN SAFETY-CRITICAL APPLICATIONS, INCLUDING MEDICAL DEVICE FIRMWARE, AUTOMOTIVE FUNCTIONAL SAFETY SYSTEMS, AEROSPACE FLIGHT-CRITICAL SOFTWARE, NUCLEAR CONTROL SYSTEMS, OR DEFENCE APPLICATIONS. USE IN SUCH APPLICATIONS IS AT YOUR OWN RISK AND REQUIRES ALL APPLICABLE REGULATORY VALIDATION INDEPENDENT OF THE SERVICE.
10.4 Service Availability
THE COMPANY DOES NOT WARRANT UNINTERRUPTED, SECURE, OR ERROR-FREE OPERATION, OR THAT THE SERVICE WILL BE FREE FROM MALWARE OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. NO UPTIME COMMITMENT IS MADE FOR STANDARD SUBSCRIPTION TIERS. SERVICE LEVEL COMMITMENTS, WHERE APPLICABLE, ARE SET OUT IN A SEPARATE ENTERPRISE AGREEMENT.

Limitation of Liability
11.1 Exclusion of Consequential Loss
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR DAMAGE TO HARDWARE OR EMBEDDED SYSTEMS, AND INCLUDING ANY DAMAGES ARISING FROM YOUR USE OF GENERATED OUTPUTS OR RELIANCE ON SUCH OUTPUTS, OR FROM YOUR USE OF AUTOMATED AND HARDWARE INTERACTIONS, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.2 Aggregate Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO THE COMPANY IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) USD 100.
11.3 Exceptions

Nothing in these Terms limits or excludes liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded under applicable mandatory law.

Indemnification

You agree to defend, indemnify, and hold harmless the Company and its officers, directors, employees, contractors, agents, affiliates, successors, and assigns from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your unauthorized use of, or misuse of, the Service; (b) your breach of these Terms; (c) your User Content; (d) your violation of applicable law; (e) your use of the Generated Outputs; (f) any dispute with a third party arising from your use of the Service; or (g) your violation of any third-party rights, including any intellectual property right or publicity, confidentiality, other property, or privacy right. The Company may assume control of any indemnified matter with your cooperation.

Dispute Resolution
13.1 Governing Law

These Terms are governed by the laws of the State of Delaware without regard to conflict-of-law principles. Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. Where local governing laws mandatorily apply to specific provisions, that law applies to those provisions only.

13.2 Good Faith Negotiation

Before initiating formal legal proceedings, the parties will attempt to resolve any dispute in good faith for 30 days following written notice to support@h2loop.ai describing the dispute in reasonable detail.

13.3 Class Action Waiver
TO THE EXTENT PERMITTED BY LAW, ALL DISPUTES MUST BE LITIGATED ON AN INDIVIDUAL BASIS. BOTH PARTIES WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING.

14
General Provisions
14.1 California Auto-Renewal Disclosure

For users in California: subscriptions automatically renew at the then-current rate unless cancelled. The charge amount and renewal date are disclosed at checkout and in Account settings. The Company will provide advance notice of any material change to subscription terms before the renewal date. You may cancel at any time via Account settings or by contacting support@h2loop.ai.

14.2 Modifications to Terms

The Company may update these Terms from time to time. Material revisions will be effective 30 days after posting or notice to you. Where necessary, we may require that you accept modified Terms in order to continue to use the Service. If you do not agree to revised Terms, you must stop using the Service before the effective date.

14.3 Entire Agreement

These Terms constitute the entire agreement between you and the Company regarding the Service. If your organisation has a Master Services Agreement with the Company, that agreement controls in the event of a conflict.

14.4 Severability

If any provision is held invalid or unenforceable, it shall be modified to the minimum extent needed to make it enforceable, or if not possible, severed. All other provisions remain in full force.

14.5 Waiver

No failure or delay by the Company in exercising any right constitutes a waiver of that right.

14.6 Assignment

You may not assign or transfer your rights under these Terms without the Company's prior written consent. The Company may assign or transfer these Terms, in whole or in part, including to an affiliate or in connection with a merger, acquisition, reorganisation, or sale of assets, upon written notice.

14.7 Force Majeure

The Company is not liable for delay or failure caused by circumstances beyond its reasonable control, including acts of God, pandemic, government action, or third-party service failures.

14.8 Export Controls

You agree to comply with all applicable US export control laws and the laws of your jurisdiction. You may not access or use the Service (a) in or for the benefit of any country, territory, individual, or entity subject to applicable sanctions or export restrictions; or (b) for any end use prohibited by applicable export control laws.

14.9 Independent Contractors

The parties are independent contractors. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship.

14.10 Local Laws

Where applicable mandatory law in your jurisdiction provides you with rights or protections that cannot be contractually excluded or waived, those rights and protections apply to your use of the Service notwithstanding anything to the contrary in these Terms.

14.11 Language

These Terms are written in English. In any conflict between the English version and a translation, the English version prevails.
